(“FaZe”), a leading digital content platform.

Upon the consummation of the proposed business combination, BRPM will change its name to “FaZe Holdings Inc.” The combined company’s common stock is expected to be listed on NASDAQ under the new ticker symbol “FAZE”.
The proposed business combination, which was announced on October 25, 2021, has been unanimously approved by the BRPM board of directors and is expected to close early in the second quarter of 2022, subject to the approval of BRPM shareholders, the Registration Statement being declared effective by the SEC, and other regulatory and customary closing conditions.

Riley Securities, Inc. is acting as capital markets advisor to BRPM and as sole placement agent on the $118 million private placement which is contingent upon the consummation of the proposed business combination (the “PIPE”). Citi is acting as lead financial advisor to FaZe. M. Klein and Company and Evolution Media Capital are also serving as financial advisors to FaZe.
